1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between “you,” “your” or “User”, as used herein, referring to you, a natural person or legal entity accessing the Website of Vectech Limited (“Company”, “we”, “our”) and Vectech Limited, a company registered in Hong Kong.

By accessing or using our Website and services, including NiceHire.AI, Scheweppes, FinCal, AI-Powered SaaS HRMS, and GEO Optimizer, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access the Service.

We reserve the right to update or change these Terms at any time and shall provide notice of such changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Website after such modifications shall constitute your acknowledgment and consent of the modifications.

2. Eligibility

The Website is a service for businesses and individuals seeking AI-powered solutions. The Service is intended for use by persons who are at least 18 years of age or the age of majority in their jurisdiction. By using our Service, you represent and warrant that you are at least 18 years old.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Accounts

When you create an account with us, you agree to:

  • Maintain and update your account information to keep it accurate, current, and complete.
  • Keep your password confidential and immediately notify us of any unauthorized use of your account.
  • Be responsible for all activities that occur under your account, whether authorized by you or not.

We reserve the right to disable any user account at any time, without notice, for conduct that we believe violates these Terms, is harmful to the Company, violates the rights of third parties, or may expose us to legal liability.

4. Licenses

Subscription License. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Software as a Service (SaaS) during the Term. This license is personal to you and may not be shared, transferred, sublicensed, or assigned without our prior written consent.

Free Trial License. We may offer a free trial period for certain services. During the Free Trial Period, you may access and use the Service under the same terms as a paid subscription. Upon expiration of the Free Trial Period, your access to the Service will cease unless you purchase a subscription.

5. Intellectual Property Rights

No information or content contained on this Website, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and data compilations, shall be copied, reproduced, distributed, republished, downloaded, displayed, posted, or transmitted in any way or form, without the prior written consent of Vectech Limited.

The Content and the Marks are provided on the Website “AS IS” for your information and personal use only. Except as expressly authorized by Vectech Limited, you may not:

  • Modify or copy the materials.
  • Use the Materials for any commercial purpose, except as expressly permitted herein.
  • Attempt to decompile or reverse engineer any software or technical information contained on the Website.
  • Remove any copyright or other proprietary notations from the Materials.

All trademarks, service marks, trade names, and logos (“Marks”) displayed on the Website are registered and unregistered trademarks owned by Vectech Limited or its licensors.   • Misuse the AI-powered tools to generate harmful, deceptive, or fraudulent content.
  • Attempt to circumvent any technical limitations of the Service, including rate limits, access controls, or usage quotas.
  • Use any automated system, including robots, scrapers, or offline readers, to access the Service in a manner that affects or attempts to affect the performance or operation of the Service.
  • Engage in any activity that disrupts, destabilizes, or negatively impacts the Service or other users.
  • Data mine, scrape, or extract data from the Service for purposes unrelated to your authorized use.

8. Payments and Billing

Certain features of the Service may require payment of fees. By subscribing to a paid plan, you agree to pay all applicable fees as described on the Website. All payments are processed through third-party payment processors and are subject to their terms and conditions.

Pricing. Current pricing for our subscription plans is displayed on the Website. We reserve the right to modify pricing at any time, provided that we give you at least 30 days’ prior notice before any price increase takes effect on your existing subscription.

Billing Cycle. Subscriptions are billed on a monthly or annual basis, as selected at the time of subscription. You authorize us to charge your designated payment method for each billing cycle until you cancel your subscription.

Taxes. All fees are exclusive of taxes. You are responsible for any applicable sales, use, value-added, or other taxes, excluding taxes based on our net income.

9. Free Trial Period

We may, from time to time, offer a free trial period (“Free Trial”) for certain services. The Free Trial is subject to the following terms:

  • The Free Trial is available for a limited period as specified at the time of registration.
  • Certain features may be restricted during the Free Trial period.
  • A valid payment method may be required to start a Free Trial, but you will not be charged until the trial period expires.
  • Upon expiration of the Free Trial, your account will automatically convert to a paid subscription unless you cancel before the trial ends.
  • The Free Trial may not be combined with other offers or promotions without our express written consent.

10. Term and Termination

These Terms and Conditions shall remain in full force and effect while you use the Service. We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

If you wish to terminate your account, you may do so by contacting us at sales@vectech.co. Upon termination, any outstanding fees become immediately due and payable.

11. Disclaimer of Warranties

The Website is provided on an “AS IS” and “AS AVAILABLE” basis. The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, statutory, or otherwise. These warranties include, but are not limited to, any implied warranties of title, non-infringement, merchantability, or fitness for a particular purpose.

We do not warrant that:

  • The Service will be uninterrupted, secure, or free of errors or inaccuracies.
  • The quality of any results obtained from the Service will meet your expectations.
  • Any defects in the Service will be corrected.

AI-Generated Content Disclaimer. You acknowledge that AI-powered outputs, including but not limited to candidate screening results, interview analyses, financial projections, and optimization recommendations, are generated by machine learning models and may contain inaccuracies. You should not rely solely on AI-generated outputs for critical business decisions without appropriate human review and verification.

12. Limitation of Liability

In no event shall Vectech Limited, nor its directors, employees, partners, agents, affiliates, advertisers, sponsors, or licensors, be liable to you for any direct, indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of (or inability to access or use) the Service.
  • Any conduct or content of any third party on the Service.
  • Any content obtained from the Service.
  • Unauthorized access, use, or alteration of your transmissions or content.

The foregoing limitation of liability shall apply to the fullest extent permitted by law in your jurisdiction.

13. Indemnification

You agree to defend, indemnify, and hold harmless Vectech Limited and its affiliates, officers, agents, partners, employees, advertisers, sponsors, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from:

  • Your access to or use of the Service.
  • Your violation of any term of these Terms.
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right.
  • Any claim that your content caused damage to any third party.

This indemnification obligation shall survive the termination of these Terms.

14. User Data and Privacy

We will maintain certain data that you transmit to the Website for the purpose of managing your account, providing the Service, and improving our offerings. Such data shall be governed by our Privacy Policy, which is incorporated into these Terms by reference.

You acknowledge and agree that:

  • We may store and process your data on servers located in Hong Kong, mainland China, Singapore, the United States, or other jurisdictions.
  • You are responsible for ensuring that your use of the Service complies with all applicable data protection and privacy laws in your jurisdiction, including but not limited to the Personal Data (Privacy) Ordinance of Hong Kong (Cap. 486), the Personal Information Protection Law of China, and the General Data Protection Regulation (GDPR) where applicable.
  • We employ commercially reasonable security measures to protect your data, but no method of transmission over the Internet or electronic storage is 100% secure.

15. Third-Party Websites and Services

The Service may contain links to third-party websites or services that are not owned or controlled by Vectech Limited. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any third-party websites or services.

17. Search Engine Optimization

You agree not to use any automated systems, including but not limited to web crawlers, scrapers, or data-mining tools, to scrape, crawl, or index the content of our Website for purposes other than your authorized use of the Service. We reserve the right to block IP addresses or accounts that engage in unauthorized scraping or crawling activities.

This restriction does not apply to recognized search engine bots that comply with our robots.txt file and standard crawling protocols.

18. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

19. Governing Law

These Terms and any claim or dispute arising out of or in connection with them or their subject matter or formation (each, a “Dispute”) shall be governed by and construed in accordance with the laws of Hong Kong Special Administrative Region, without regard to its conflict of law principles.

If a Dispute is not resolved informally within 30 days of receipt by either Party of notice of the Dispute, it shall be finally resolved by arbitration in Hong Kong in accordance with the arbitration rules of the Hong Kong International Arbitration Center (HKIAC). The language of arbitration shall be English.

20. Dispute Resolution

If you have a dispute with us, we encourage you to contact us at sales@vectech.co so that we may have an opportunity to resolve it. If the Dispute is not resolved within 30 days, either party may initiate binding arbitration in accordance with the terms set forth above.

Notwithstanding the foregoing, either party may bring a lawsuit in any court of competent jurisdiction for claims related to intellectual property infringement or for injunctive relief.
